Agreement between
you and Gusgraph.
These Terms of Service explain the rules, responsibilities, and conditions that apply when you use the Gusgraph website, request services, purchase services, or interact with Gusgraph software, automation systems, websites, platforms, SaaS projects, and digital services.
By using this website or working with Gusgraph, you agree to these Terms of Service. If you do not agree with these terms, you should not use the website or request services from Gusgraph.
Who We Are
Gusgraph is a software development and digital technology company focused on building practical online systems for businesses, creators, merchants, organizations, and digital operators. Services may include software development, system automation, SaaS platform development, web applications, websites, hosting setup, business tools, digital products, API integrations, crypto payment infrastructure, online service platforms, content systems, consulting, planning, and implementation.
These Terms apply to the Gusgraph website and any services, projects, or digital tools provided by Gusgraph unless a separate written agreement says otherwise.
Use of the Website
You may use the Gusgraph website for lawful, personal, business, and informational purposes. You agree not to violate laws, damage the website, attempt unauthorized access, interfere with security, upload harmful code, copy content for misleading use, misrepresent Gusgraph, scrape without permission, exploit bugs, harass others, or submit false information.
Gusgraph may restrict, block, or refuse access to users who misuse the website or violate these Terms.
Service Requests and Project Scope
When you contact Gusgraph or request a service, you agree to provide accurate and complete information about your business, website, software needs, automation goals, content needs, hosting environment, payment system, API requirements, or technical setup. Submitting a request does not guarantee that Gusgraph will accept the project, and Gusgraph may decline any request or business relationship at its discretion.
Every serious project needs a clear scope. A project scope may include deliverables, timeline, price, payment terms, technical limits, content requirements, revision limits, and responsibilities. Unless otherwise agreed in writing, Gusgraph is responsible only for work specifically included in the accepted scope. Extra pages, new features, new integrations, major design changes, additional revisions, hosting migration, emergency fixes, troubleshooting, API work, security recovery, or maintenance may require a separate quote or agreement.
Client Responsibilities
Clients are responsible for providing the information, access, approvals, files, content, credentials, and feedback needed to complete the project. This may include business information, website copy, images, branding files, domain access, hosting access, platform logins, API keys, payment processor access, content approvals, legal policy content, product details, revision notes, and final approval before launch.
Gusgraph is not responsible for delays caused by missing access, incomplete information, third-party issues, slow approvals, late payments, or changes requested after work has already started.
Payments, Fees, and Refunds
Payment terms depend on the service, project, subscription, invoice, or agreement. Gusgraph may require full payment, partial payment, milestone payments, deposits, recurring payments, or subscription payments before or during service delivery. Work may pause if payment is late, completed work may not be released until payment is received, additional work may require additional payment, and third-party costs are separate unless included in writing.
Custom software development, website work, automation setup, consulting, content work, design work, strategy, integrations, and project planning may not be refundable once work has started. Refunds may not be available for completed work, delivered work, hours spent, setup fees, accessed digital products, custom development, third-party costs, domains, hosting, emergency work, consulting sessions, automation setup, content writing, or API integration. Any approved refund is handled at Gusgraph's discretion and may exclude completed work, transaction fees, third-party expenses, and administrative costs.
Revisions and Timelines
Some projects may include a limited number of revisions. A revision means a reasonable adjustment to work already within scope, not a new project, new direction, new feature, or replacement of approved work. Major redesigns, new pages, new integrations, large rewrites, new automation logic, different software behavior, or third-party platform changes may require additional fees.
Project timelines are estimates unless a specific deadline is agreed in writing. Timelines may change because of client delays, missing information, late payments, additional revisions, third-party issues, hosting or domain problems, API delays, payment processor delays, security issues, scope changes, technical complications, or unexpected bugs.
Website, Software, and Automation Services
For website projects, Gusgraph may provide design, development, setup, page creation, content placement, hosting support, domain configuration, plugin setup, performance improvement, or maintenance. Clients are responsible for ensuring that website content, claims, images, products, service descriptions, legal pages, pricing, and offers are accurate and lawful.
For software development, SaaS platforms, web applications, and automation systems, Gusgraph may build custom functionality based on the agreed scope. Software may include bugs, limitations, compatibility issues, third-party dependency problems, hosting limits, or future maintenance needs. No software can be guaranteed to be completely error-free or permanently compatible with every future browser, device, operating system, hosting environment, API, plugin, framework, or third-party service.
Third-Party Services, Hosting, and Domains
Many digital projects depend on third-party services such as hosting providers, domain registrars, email providers, payment processors, cloud platforms, analytics tools, security tools, API providers, plugins, themes, libraries, SaaS tools, crypto wallets, blockchain networks, app stores, and marketing platforms. Gusgraph is not responsible for outages, pricing changes, policy changes, account suspensions, API changes, data loss, delays, or errors caused by third-party services.
If Gusgraph assists with hosting, domains, migration, email configuration, or technical setup, the client remains responsible for ownership, payment, renewals, and access unless otherwise agreed in writing. Clients should keep copies of important credentials and maintain current billing information with their providers.
Content, SEO, and Marketing
Gusgraph may provide content writing, page copy, SEO copy, product descriptions, service descriptions, articles, documentation, marketing language, metadata, keyword suggestions, or content planning. Content is not legal, financial, medical, tax, investment, or regulatory advice. Clients are responsible for reviewing and approving all content before publication and verifying facts, pricing, claims, compliance language, legal notices, and regulated industry statements.
SEO and marketing work does not guarantee search rankings, traffic, sales, leads, conversions, ad approval, platform approval, app store approval, or business results. Gusgraph can improve structure and content, but external platforms control their own algorithms and policies.
Crypto Payment and Blockchain Services
Gusgraph may work on crypto payment infrastructure, wallet checkout, stablecoin payments, token utility pages, blockchain integrations, or related digital payment tools. Crypto and blockchain systems involve risks including volatility, congestion, transaction delays, irreversible payments, wallet errors, wrong network selection, smart contract risk, exchange-rate changes, regulatory changes, third-party wallet issues, network failures, user error, and security threats.
Gusgraph does not provide financial, investment, legal, tax, or trading advice. Crypto-related service is provided as technical, software, infrastructure, content, or integration work only unless a separate written agreement says otherwise.
No Professional Advice
Gusgraph may publish content related to software, business, ecommerce, crypto payments, automation, websites, online services, and digital infrastructure. This content is for general informational and business purposes only. Nothing on the website should be treated as legal, financial, investment, tax, medical, or professional compliance advice.
Intellectual Property and Portfolio Use
All content, branding, design, text, graphics, layouts, code, software structure, project materials, documentation, concepts, and digital assets created or owned by Gusgraph remain the property of Gusgraph unless transferred through a written agreement. Clients may receive rights to use final deliverables after full payment, based on agreed terms. Gusgraph may retain ownership of reusable code, frameworks, templates, internal tools, methods, general concepts, pre-existing assets, backend utilities, automation patterns, and documentation structure.
Unless otherwise agreed in writing, Gusgraph may reference completed projects, public websites, non-confidential work, screenshots, descriptions, or general project categories in its portfolio, marketing materials, proposals, case studies, or public project pages. Gusgraph will not intentionally publish private credentials, confidential business information, sensitive data, or non-public technical secrets.
Confidential Information and Credentials
Both Gusgraph and the client may share confidential information such as business plans, credentials, project details, customer data, unpublished products, technical systems, financial information, trade secrets, or internal workflows. Gusgraph will make reasonable efforts to protect confidential information and use it only to deliver the agreed service.
Clients are responsible for protecting credentials, passwords, API keys, account access, and sensitive data. When possible, clients should use role-based access, temporary credentials, two-factor authentication, and secure password management.
Support and Maintenance
Support and maintenance are not automatically included forever unless stated in a written agreement. After delivery, additional support may require a maintenance plan, hourly service, subscription, or new service agreement. Support may include bug fixes, updates, content edits, feature adjustments, hosting support, plugin updates, API troubleshooting, performance improvement, monitoring, or consulting.
Without maintenance, websites and software may become outdated, insecure, incompatible, or less reliable over time.
User Accounts and Prohibited Activities
If Gusgraph provides platform, dashboard, portal, SaaS, or user account access, you are responsible for keeping login credentials secure. You agree not to share accounts without permission, use another person's account, attempt unauthorized access, misuse the platform, upload harmful content, abuse resources, interfere with users, reverse engineer protected systems, or use the platform for illegal activity.
You may not use Gusgraph services, websites, software, or platforms for illegal activity, fraud, spam, malware, phishing, unauthorized scraping, copyright or trademark infringement, harassment, abuse, scams, unauthorized financial services, unlawful betting, exploitation of security flaws, harmful software distribution, misleading business claims, or activity that damages Gusgraph or others.
Service Refusal and Termination
Gusgraph may refuse service, pause work, suspend access, terminate a project, remove content, or end a business relationship when necessary. Reasons may include violation of these Terms, non-payment, abusive communication, illegal activity, fraud, unclear or impossible scope, unsafe requests, third-party restrictions, misuse, security concerns, repeated scope changes, or failure to provide required information. Fees may still be owed for work already completed or time already spent.
Limitation of Liability and No Guarantee of Results
To the maximum extent permitted by law, Gusgraph is not liable for indirect, incidental, special, consequential, punitive, or business-loss damages, including loss of revenue, profit, data, rankings, customers, traffic, downtime, account suspension, third-party failure, security incidents, or business interruption. Gusgraph's total liability for any claim related to a service or project will not exceed the amount paid for the specific service giving rise to the claim, unless applicable law requires otherwise.
Gusgraph does not guarantee business success, revenue growth, search rankings, ad approvals, platform approvals, leads, sales, investor interest, app store approval, payment processor approval, crypto asset value, market performance, perfect uptime, bug-free software, permanent compatibility, or third-party service availability.
Indemnification
You agree to hold Gusgraph harmless from claims, damages, losses, liabilities, costs, or expenses arising from your use of the website, violation of these Terms, misuse of services, provided content, business claims, violation of law, infringement of third-party rights, or use of Gusgraph deliverables in a way that creates legal or financial risk.
Changes to Services and Terms
Gusgraph may update, change, improve, suspend, remove, or discontinue parts of the website, services, platforms, features, pages, pricing, packages, or project offerings at any time. Gusgraph may also update these Terms of Service from time to time. Continued use of the website or services after updates are posted means you accept the revised Terms.
Governing Law
These Terms are governed by the laws applicable to Gusgraph's place of operation unless a separate written agreement states otherwise. Any dispute should first be handled through direct communication in good faith. If unresolved, it may be handled through the appropriate legal process under applicable law.
